(hereinafter referred to as "Shanghai shengnuo") and Shanghai Jing'an District Planning and natural resources bureau signed "Shanghai state owned construction land use right transfer contract (business land)" (hereinafter referred to as "the contract"), and the land transfer fee was RMB 8232.28 million. This contract is a supplementary contract for the merger of land involved in the "Shanghai state owned construction land use right transfer contract (business land)" signed by Shanghai shengnuo before. Conditions for the contract to come into effect: the transfer scheme of parcel of land under this contract has been approved by the people's Government of Jing'an District, Shanghai, and this contract shall come into force as of the date of signing by both parties.

1、 Review procedure

According to the resolutions of the first extraordinary general meeting of shareholders in 2016 and the first extraordinary general meeting of shareholders in 2021, the signing of land transfer contract of Huaxing new city project of the company is as follows:

1. Shanghai shengnuo signed Shanghai state owned land use right transfer contract (Supplement) with Shanghai Zhabei District Planning and Land Management Bureau on January 26, 2016 [huzhaguitu (2016) transfer contract Supplement No. 1 / huzhafandi (2007) transfer contract No. 103], with a total area of 53948.5 square meters, the land use right transfer fee is RMB 248.1 million. On May 6, 2021, Shanghai shengnuo and Shanghai Jing'an District Planning and natural resources bureau signed "Shanghai state owned construction land use right transfer contract (business land)" [Hujing state owned construction land use contract supplement (2021) No. 504 (version 3.0) / huzhegtu (2016) concession contract Supplement No. 1 (2.0) / huzhafangfangdi (2007) transfer contract No. 103 (version 1.0)], The area of the transferred land is adjusted to 23673 square meters, and the transfer price is RMB 248.1 million;

2. On June 29, 2021, Shanghai shengnuo signed Shanghai state owned construction land use right transfer contract (business land) with Shanghai Jing'an District Planning and Natural Resources Bureau [Hujing state owned construction land use contract (2021) No. 509], with the transferred parcel area of 35694.8 square meters (of which, 7352.3 square meters of land property rights will be transferred to Jing'an District People's government free of charge), The transfer price is RMB 7984.18 million.

In order to further promote the project of Huaxing new city and determine the scope of land use, the above contracts need to be consolidated and adjusted.

2、 Basic information of the contract

On August 10, 2021, Shanghai shengnuo (hereinafter referred to as the "Transferee") and Shanghai Jing'an District Planning and natural resources bureau (hereinafter referred to as "the transferor") signed the contract for the transfer of the right to use state owned construction land in Shanghai (for business purposes) [Hujing state owned construction land use contract (2021) No. 509 (version 1.0) / supplement to Hujing state owned construction land use contract (2021) No. 509 (version 2.0)], The main contents of this contract are as follows:

(1) the result number of the survey report on the ownership of the transferred parcel of land under the contract is 202108539853476347, with a total area of 59367.8 square meters in words (59367.8 square meters in figures), of which the transferred land area is 52015.5 square meters in words【 Plot 08-01 and 08-04 of unit C070102, Tianmu community, Jing'an District (Huaxing new city), plot 08-01: area of transfer is 32019.1 square meters, plot 08-04: area of transfer is 19996.4 square meters].

(2) the transfer parcel under this contract is located in Beizhan street, Jing'an District, from four directions to Zhejiang North Road in the East, Haining Road in the south, Guihua Quanquan middle school in the West and Tianmu East Road in the north.

(3) the purpose of the transferred parcel of land under this contract is 08-01: ordinary commercial housing, 08-04: office building, 08-04: commercial land.

(4) the transferor agrees to deliver the transferred parcel of land to the transferee within 15 working days from the date of paying off all the transfer price of the state-owned construction land use right, and the transferor agrees that the transferred parcel of land should reach other levels when delivering the land.

(5) the term of transfer of state-owned construction land use right under this contract is commercial and residential office: 70 years for ordinary commercial housing, 40 years for commercial land and 50 years for office building, which shall be calculated from August 13, 2020; If the original allocated (leased) state-owned construction land use right has gone through the transfer procedures, the term of transfer shall be calculated from the date of signing the contract.

(6) the transfer price of the state-owned construction land use right of the transferred parcel of land under the contract is RMB 8.2232 million two hundred and eighty thousand yuan in words (823228000.00 yuan in number). (7) the new buildings, structures and ancillary facilities within the scope of the transferred parcel of land under this contract shall meet the planning conditions of the transferred parcel of land determined by the planning administration department of the municipal (county) government. 1. Planning conditions of the above ground part:

The planning nature of the above ground construction land: the planned land use of plot 08-01 is of three types of residential group land (rr3), and the planned land use nature of plot 08-04 is mixed land for commercial service industry and business office (c2c8);

Plot ratio of above ground buildings: plot 08-01: ordinary commercial housing 4.05; plot 08-04: commercial land, office building 12.5; plot 08-01: ordinary commercial housing 129772.8 square meters; plot 08-04: commercial land, office building 249852.0 square meters;

The proportion of building area of mixed land for various purposes: plot 08-01: 100.0% for ordinary commercial housing, plot 08-04: commercial land no less than 10.0%, office building no more than 90.0%;

The height limit of above ground buildings is 150 meters in plot 08-01 (12 meters along Zhejiang North Road) and 320 meters (along Zhejiang North Road).

2. Planning conditions of underground part:

Nature of underground construction land planning: subject to the approved regulatory detailed planning;

Total underground construction area: 163680 square meters;

Including: commercial building area: 6000 square meters;

The construction area of supporting facilities (including the basement inside the residence) is 9000 square meters;

The building area of residential supporting parking garage: 66840 square meters;

Non residential supporting parking garage uses building area: 81840 square meters.

If the underground space development is not stipulated in the contract but needs to be developed in the construction stage, the transferee shall sign a supplementary transfer contract with the transferor within three months after handling the construction project planning permit to improve the planning conditions of the underground part.

3. Construction requirements of public service facilities and public space:

A. public service facilities:

Public service facilities with a building area of no less than 780 square meters (capacity calculation) shall be provided. Among them, a neighborhood committee with a building area of about 200 square meters and a communication office room with a building area of about 500 square meters shall be configured in the 08-01 plot. The communication bureau can be set on the ground or under the ground according to the specific building scheme, and the specific opinions of the industry departments shall prevail. The public toilets of about 80 square meters shall be configured in plot 08-04, And meet the following requirements; Public service facilities need to be arranged below the third floor of the building, and arranged along the street for easy access. Property rights of public toilets (including management rights)

The area of the open space is the lower limit, the scope of the open space is variable, the specific location is determined in combination with the overall planning scheme, and the management right and ownership belong to the transferee.

C. construction requirements of public passage:

(1) a ground connection public passage shall be set up in the neighborhood. The width and length of the East-West public (pedestrian and vehicular) passageway shall not be less than 8 meters and the length shall not be less than 230 meters. The width and length of the North-South public (walking and vehicle) passageway shall not be less than 10 meters and the length shall not be less than 190 meters, so as to ensure the convenient pedestrian connection between the development plots and meet the requirements of passenger flow evacuation in the transfer channel, And meet the following requirements: no fence shall be set at both ends, meeting the requirements of 24-hour opening. The clearance height of public passageway combined with buildings shall not be less than 4.5m.

(2) other requirements: the layout and alignment of the public passage are immutable. See the approved control plan for details. (8) if the transferred parcel of land under the contract involves the construction of residential projects, the minimum number of residential units is 638. The transferee shall carry out the development and construction of the residential part according to the following provisions:

1. The construction area of indemnificatory housing within the scope of the transferred parcel of land under the contract shall account for more than \% of the total residential building area of the transferred parcel, totaling more than 3074.74 square meters. The transferee agrees that the above-mentioned affordable housing shall be transferred to the housing security agency or public rental housing operation agency of Jing'an District free of charge.

2. The construction area of fully decorated residential buildings shall account for more than \% of the total residential building area (excluding indemnificatory housing, etc.), accounting for more than / square meters. The fully decorated residential building area of indemnificatory housing shall account for more than 100% of the construction area of indemnificatory housing, totaling more than 3074.74 square meters.

(9) the location of buildings to be protected and preserved (including cultural relics protection units and excellent historical buildings) in the transferred parcel under the contract: located in 08-01 and 08-04 plots, covering an area of 13226 square meters and a building area of 16935 square meters.

(x) the transferee agrees that the construction project of the transferred parcel of land under the contract shall be started within 12 months after the delivery of the land and shall be completed within 60 months after the delivery of the land. If the transferee fails to start the project on schedule, it shall give the transferor 30 days in advance

If the application for extension of construction is submitted and the transferor agrees to extend the construction, the completion time of the project shall be postponed accordingly, but the extension period shall not exceed one year.

(11) the transferee shall hold the property in accordance with the following provisions.

1. The Grantee shall hold the whole supporting commercial property for community and commercial residential land (except for the property that should be handed over to the government and relevant government departments in accordance with relevant provisions) according to the transfer period;

2. The transferee shall hold the residential property with a building area of no less than \% (9224.22 square meters in total) according to the term of transfer (except for the indemnificatory housing and other properties that shall be handed over to the government and relevant government departments in accordance with the relevant provisions and the contract), and the above self owned area shall be used for lease;

3. Other property self-supporting requirements: 1) the transferee shall hold the commercial property with the building area no less than 100% according to the transfer period; 2) The transferee shall hold the office property with the floor area no less than 100% according to the transfer period.

The land transfer scheme under this contract has been approved by the people's Government of Jing'an District, Shanghai, and this contract shall come into force as of the date of signing by both parties.

The purpose of this transaction and its impact on the company

1. This contract is a supplementary contract for the merger of land involved in the "Shanghai state owned construction land use right transfer contract (business land)" signed by Shanghai shengnuo before. The land transfer area, building area and land transfer fee remain unchanged, so there is no impact on the company. After Shanghai shengnuo has paid off the land transfer fee, the real estate ownership certificate can be handled. At this time, the land adjustment of Huaxing new town project has been completed.

2. According to the above land transfer funds, as of the end of June 2021, the accumulated land cost investment amount of the company's Huaxing new city project is RMB 16.618 billion (including capitalized interest, which shall be finally subject to the audit of Accountants), which does not exceed the authorization scope of the first extraordinary general meeting of shareholders in 2021.
